1. Program Overview

INOX Digital authorizes approved freelancers and resellers to market and promote POS Software, Inventory Systems, ERP Solutions, Restaurant Management Systems, Pharmacy Software, E-commerce Platforms, Website Development Services, Mobile Applications, Cloud Services, and other digital products and services. This Agreement does not constitute employment, partnership, or ownership in INOX Digital.

2. Partner Levels

INOX Digital operates a structured reseller and freelancer program with different partnership levels. INOX Digital reserves the right to review, upgrade, downgrade, or revoke partnership levels at its sole discretion.

3. Commission Structure

Approved freelancers and resellers may earn commissions between 10% and 20% per qualified sale depending on product category, deal value, partnership level, sales consistency, client retention, and strategic agreements.

4. Payment Policy

Commissions are only paid on fully paid invoices, successfully completed transactions, and cleared verified payments received by INOX Digital. No commission is paid for unpaid invoices, pending invoices, cancelled sales, refunded transactions, fraudulent payments, chargebacks, trial accounts, fake sales, or misleading sales.

5. Reseller Invoicing Policy

The 20% commission structure does not apply to resellers who invoice customers independently, add their own markup, sell products under their own billing structure, or operate as independent software distributors.

6. Client Ownership & Software Rights

All software systems, source code, branding, intellectual property, designs, licenses, and infrastructure remain the exclusive property of INOX Digital unless otherwise agreed in writing.

7. Non-Disclosure & Confidentiality

All freelancers and resellers agree to maintain strict confidentiality regarding client information, internal pricing, source code, system architecture, business strategies, company documents, marketing materials, trade secrets, and financial information.

8. Professional Conduct

Partners must act professionally, represent the brand positively, provide accurate product information, avoid misleading advertising, and maintain ethical business conduct. False promises, unauthorized discounts, fake invoices, brand misuse, defamation, fraud, and customer deception are prohibited.

9. Non-Exclusivity

This Agreement is non-exclusive. INOX Digital may appoint multiple resellers, work with competing agents, sell directly to customers, and modify territory structures.

10. Yearly Renewal Policy

All reseller and freelancer partnerships are subject to annual review and renewal based on sales performance, customer satisfaction, compliance history, professional conduct, and business growth.

11. Termination Rights

INOX Digital may suspend or terminate any partnership without prior notice where fraud is suspected, policies are violated, company reputation is harmed, or misconduct occurs.

12. Limitation of Liability

INOX Digital is not liable for business losses, indirect damages, third-party disputes, loss of profits, or service interruptions arising from reseller activities.

13. Policy Amendments

INOX Digital reserves the right to modify these Terms and Conditions at any time without prior notice. Continued participation constitutes acceptance of updated terms.

14. Digital Acceptance & Signature

By registering, promoting, marketing, referring, or selling any INOX Digital product or service, the partner confirms acceptance of this Agreement.
